Halvorsen & Reith is an independent advisory boutique for the governance of cross-border corporate structures. We advise on what a jurisdiction requires of a board, on the terms a director is asked to accept, and on the exposure that follows once the appointment is made.

What we do

The work is organised in eight practices, from the composition of the board to the dispute that tests it: board composition and director requirements, corporate records, registers and disclosure, substance and effective management, articles, shareholder and joint venture agreements, investment, M&A, reorganisation and redomiciliation, directors’ duties and personal liability, shareholder disputes and minority protection, and exit, deadlock and buy-out.

Forty jurisdictions are in scope. For each one the firm maintains a register of verified positions: a statement, the primary text behind it, a confidence grade and a review date. A statement is published on this site only when it has been tied to that register; everything else is marked as pending. The requirements matrix and the comparative tables are built from the same register.

Who we are

The firm is led by its partners and supported by lawyers, financial analysts, project managers and a group of expert authors who maintain the comparative analysis by practice. The people page lists everyone, with the practice each one works in.

How we charge

By stage, with a defined deliverable for each. The stages are set out on the fees page; figures are agreed per engagement and are not published on this site.
